Welcome to INDO NATURA EXPORTER. By accessing our platform, requesting product quotations, or establishing trade agreements with our entity, you agree to adhere to the terms and regulations outlined below.
1. General Provisions
These legal terms govern all commercial transactions, communications, and export contracts between INDO NATURA EXPORTER ("we", "us", "our") and our global buyers, trade partners, or platform users ("you", "buyer"). Initiating a purchase inquiry confirms your legal authority to enter into commercial binding contracts.
2. Product Quality & Samples
- All commodities exported by INDO NATURA EXPORTER strictly conform to international export-grade standards and contractual parameters.
- Natural variations in color, size, or moisture content may occur due to seasonal harvesting and natural origin factors.
- Product samples can be requested prior to bulk orders. Sample fulfillment and shipping freight charges will be specified upon request.
3. Quotations, Pricing & Payment Terms
- Binding commitments are formalized exclusively through an official Proforma Invoice (PI) or Sales Contract detailing Incoterms (e.g. CIF, CFR), Minimum Order Quantities (MOQ), and pricing.
- Sample Orders: All sample orders shall require 100% advance payment via Telegraphic Transfer (T/T) prior to processing and shipment. The Buyer shall be responsible for the sample product cost, packaging, and applicable international shipping charges, unless otherwise expressly agreed in writing by the Seller.
- Bulk Purchases: Unless otherwise expressly agreed in writing, bulk orders shall require a 50% advance payment via T/T upon execution of the Proforma Invoice or Sales Contract, with the remaining 50% balance payable prior to vessel dispatch.
- Payment Channel: All payments shall be made exclusively via Telegraphic Transfer (T/T) through internationally recognized banking channels to the Sellerās designated corporate bank account stated in the official Proforma Invoice or Sales Contract. The Seller shall not be responsible for payments made to any unauthorized account or third party.
- CIF and Inland Delivery: The standard delivery term shall be CIF [Port of Destination], IncotermsĀ® 2020. Where expressly stipulated in the Proforma Invoice or Sales Contract, the Seller may arrange and bear the cost of inland transportation from the destination port to the Buyerās designated delivery address.
- Import Duties and Taxes: All import duties, customs duties, VAT/GST, import taxes, and other governmental charges imposed by the destination country shall be borne exclusively by the Buyer.
- Destination Charges: All customs clearance charges, import permits, inspection fees, storage charges, demurrage, detention, and other destination-related charges shall be borne by the Buyer, unless otherwise expressly agreed in writing by both parties.
- Price Validity: All quotations shall remain subject to changes in raw material costs, market conditions, freight rates, and other relevant commercial factors until the applicable Proforma Invoice or Sales Contract has been duly executed and the agreed initial payment has been received and confirmed by the Seller.
- Order Confirmation: An order shall be deemed confirmed only after the applicable Proforma Invoice or Sales Contract has been duly accepted and the required advance payment has been received and confirmed in the Sellerās designated corporate bank account.
4. Shipping & Export Documentation
INDO NATURA EXPORTER assumes responsibility for securing official Indonesian export documentation, including Phytosanitary Certificates, Certificates of Origin (COO), Commercial Invoices, Packing Lists, and Bills of Lading (B/L).
The buyer holds responsibility for verifying customs import clearance policies, import duties, and specific quarantine compliance regulations in the destination port.
5. Intellectual Property Rights
All brand identity elements, media assets, product documentation, trade literature, and digital content displayed on this domain are the exclusive intellectual property of INDO NATURA EXPORTER. Reproduction or distribution without formal written consent is strictly prohibited.
6. Limitation of Liability & Force Majeure
INDO NATURA EXPORTER shall not be held liable for failure or delays in contract execution resulting from events beyond reasonable operational control (Force Majeure), including natural disasters, port blockades, trade embargoes, or extreme climatic yield disruptions.
7. Governing Law & Jurisdiction
These Terms of Service are governed by and construed under the legal jurisdiction of the Republic of Indonesia. Any disputes arising shall first be settled through good-faith negotiation or through designated arbitration bodies in Indonesia.
